Terms of Service

These Terms of Service ("Terms") govern your use of the websites, applications, and services provided by Obelica Systems ("we", "us", "our"), a software studio based in Italy.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

Obelica Systems provides custom software development services including, but not limited to, web development, e-commerce solutions, SaaS products, mobile applications, AI integrations, workflow automations, and the Obelica Links platform.

The specific scope, deliverables, and timelines for each project are defined in individual project proposals or quotes agreed upon between Obelica Systems and the client.

If you create an account with us, you are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account.
• Providing accurate and up-to-date information.
• Notifying us immediately at hello@obelica.com if you suspect unauthorized access to your account.

We reserve the right to suspend or terminate accounts that violate these Terms or are used for unlawful purposes.

Payment terms for custom projects are as follows, unless otherwise agreed in writing:

• Quotes: all projects begin with a detailed quote outlining scope, deliverables, and pricing. Quotes are valid for 30 days from the date of issue.
• Payment structure: a deposit of 30% of the total project cost is required before work begins. The remaining 70% is due upon project completion and delivery.
• Maintenance plans: recurring maintenance services are billed monthly or annually as specified in the maintenance agreement.
• Payment methods: all payments are processed securely through Stripe. We accept major credit and debit cards.
• Late payments: invoices not paid within 15 days of the due date may incur late payment interest at the rate prescribed by Italian law (D.Lgs. 231/2002).
• Taxes: all prices are exclusive of VAT unless otherwise stated. VAT will be applied where required by Italian and EU law.

• Client deliverables: upon full payment, all intellectual property rights in the custom work created specifically for you are transferred to you, unless otherwise agreed in writing.
• Pre-existing materials: we retain ownership of any pre-existing code, libraries, frameworks, or tools used in your project. You receive a perpetual, non-exclusive license to use these materials as part of your deliverables.
• Open-source components: projects may include open-source software components, which remain subject to their respective licenses.
• Portfolio rights: unless you request otherwise in writing, we reserve the right to display the completed project in our portfolio and marketing materials.
• Obelica brand: the Obelica name, logo, and branding are the exclusive property of Obelica Systems and may not be used without prior written consent.

• Estimated timelines are provided in good faith but are not guaranteed. Delays caused by client feedback cycles, scope changes, or third-party dependencies may extend the delivery timeline.
• We will provide regular progress updates and staging access throughout the development process.
• A project is considered delivered when the final version is deployed to production or handed over to the client as agreed.
• Clients have 14 days after delivery to report defects or issues covered under the project scope. Bug fixes for in-scope issues are provided at no additional cost during this period.

To the maximum extent permitted by applicable law:

• Obelica Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
• Our total aggregate liability for any claims arising from or related to these Terms or our services shall not exceed the total amount paid by you to Obelica Systems in the 12 months preceding the claim.
• We do not guarantee that our services will be uninterrupted, error-free, or completely secure. We provide our services on an "as is" and "as available" basis.

• By the client: you may terminate a project at any time by providing written notice. Payments for work completed up to the date of termination are non-refundable. The initial deposit is non-refundable once work has commenced.
• By Obelica Systems: we may terminate or suspend services if you breach these Terms, fail to make timely payments, or engage in conduct that is harmful to our business or reputation.
• Effect of termination: upon termination, we will deliver all completed work up to the date of termination. Any licenses granted under these Terms survive termination for completed and paid-for work.

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This obligation survives the termination of the business relationship for a period of 2 years.

Neither party shall be liable for delays or failure to perform obligations due to circumstances beyond their reasonable control, including but not limited to natural disasters, pandemics, government actions, internet outages, or other force majeure events.

These Terms are governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Italy.

For consumers residing in the EU, nothing in these Terms affects your rights under applicable consumer protection laws.

We may update these Terms from time to time. Any changes will be posted on this page with an updated revision date. Continued use of our services after changes constitutes acceptance of the revised Terms.
